1. Agreement to Terms

By accessing or using Toniqe (the "Platform"), a product of Toniqe Labs Private Limited, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

Toniqe is a Conversion Intelligence Platform that uses AI to analyze the relationship between advertising creatives and landing pages. The Platform provides reports, insights, scores, and recommendations to help you improve advertising performance.

3. How Toniqe Visits Landing Pages

When a report covers a live landing page, Toniqe opens it in an automated browser, on a phone and on a desktop, and goes through it the way a shopper who clicked the ad would. It may close pop-ups, answer quiz questions, choose a product option, add a product to the cart and open the checkout page. It is built never to sign in, never to enter a name, email address, phone number, delivery address or payment details, and never to place an order.

You may run reports on any landing page that anyone can open without signing in: your own pages, pages of brands you work for, and competitors' pages. Agencies may run reports for their clients and on their clients' competitors.

A report loads the page several times: to capture it, and to walk it on each device, much like a handful of shoppers visiting. When the ad's link carries its own tracking tags, those loads carry them too, as a click on the ad would. During the walk, our browser blocks the analytics and advertising trackers it recognises, such as Google Analytics and the Meta pixel, so the walk's clicks, add to cart and checkout mostly go unreported to them. The page loads themselves, trackers it does not recognise, and anything the site records on its own servers may still appear in the site's reports.

You are responsible for how you use what a report shows about pages you do not own, and for following the laws that apply to you.

4. Account Registration

You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information and to update it as necessary. You must be at least 18 years of age to use the Platform.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You may not: use reports to infringe anyone's intellectual property or other rights; attempt to reverse-engineer, decompile, or disassemble any part of the Platform; use automated tools to scrape, crawl, or extract data from the Platform beyond normal API usage; or share your account credentials with others.

You retain ownership of all content you upload to the Platform. By uploading content, you confirm that you own it or have permission to use it this way, including material that is not public yet, such as an unreleased ad or a page still in design. If you are an agency, that permission comes from your client, and our Data Processing Agreement applies to its material.

By uploading content, you also grant us a limited license to process it for the purpose of delivering our service and to improve how Toniqe judges, in the limited ways section 4 of the Privacy Policy and section 3 of the AI Terms describe. What Toniqe learns this way is kept as patterns, never in your words, and it stays when you delete your account or opt out.

6. Subscription Plans and Billing

Toniqe offers both free and paid subscription plans. Paid plans are billed monthly, quarterly or annually as selected at the time of purchase. Prices are subject to change with 30 days' notice.

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods unless required by applicable law.

7. AI-Generated Content Disclaimer

The analysis reports, scores, and recommendations provided by Toniqe are generated using artificial intelligence. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or hallucinations. Toniqe's output should be used as one input in your decision-making process, not as the sole basis for business decisions. We do not guarantee specific outcomes or results from following our recommendations. The AI Terms are part of these Terms and say which models are used and what Toniqe learns from.

8. Intellectual Property

The Platform, including its design, code, AI models, scoring methodology, and branding, is the intellectual property of Toniqe Labs Private Limited. You may not copy, reproduce, or create derivative works from any part of the Platform without our written consent. The "Toniqe Score" methodology and scoring system are proprietary.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy. Where you submit material for which you decide the purpose, such as a client's ads, our Data Processing Agreement applies and forms part of these Terms.

10. Limitation of Liability

To the maximum extent permitted by law, Toniqe Labs Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Platform. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in India.
